1. GENERAL PROVISIONS

1.1 About These Terms

These Terms of Use (hereinafter — "Terms") govern access to and use of the eGrants platform, located at egrants.com.ua (hereinafter — "Platform").

1.2 Platform Operator

1.3 Acceptance of Terms

By using the Platform, you confirm that:

You have read these Terms and the Privacy Policy
You understand and accept them
You have the authority to enter into this agreement
You have reached the age of 16 (or 14 with parental/guardian consent in Ukraine)

If you do not agree with these Terms, please do not use the Platform.

1.4 Changes to Terms

We reserve the right to change these Terms at any time. We will notify you of significant changes through:

Email notification (for registered users)
Banner on the site
Update to the "Last Updated" date

Continued use of the Platform after changes are made means your agreement with the new Terms.

2. DESCRIPTION OF SERVICES

2.1 About the Platform

eGrants is a digital hub for grants, investments, and development programs that provides the following services:

Publication of information about funding programs
Creation of organization profiles (business, donors, consultants, communities, state bodies)
Search and filtering of funding programs
Saving favorite programs and profiles
Informational content about development opportunities
Support for communication between donors and funding recipients

2.2 Free Services

All core Platform features are free for users. We reserve the right to introduce paid services in the future with prior notice to users.

2.3 Platform Availability

We strive to ensure uninterrupted operation of the Platform, but do not guarantee:

That the Platform will be available without interruptions
That all features will work without errors
That servers will be free from viruses or other harmful components

We reserve the right to suspend or terminate Platform operation for maintenance, updates, or other reasons.

3. REGISTRATION AND ACCOUNTS

3.1 Account Creation

To use certain Platform features, you need to create an account. When registering, you agree to:

Provide accurate, complete, and current information
Maintain and update your information
Keep your password confidential
Immediately notify us of any unauthorized use of your account
Not create an account on behalf of another person without permission

3.2 Types of Accounts

The Platform supports the following profile types:

Business: For enterprises seeking funding
Donor: For organizations providing funding
Consultant: For professionals providing consulting services
Community: For territorial communities
State Enterprise: For state enterprises
State Body: For government authorities
Ministry Administrator: For ministry representatives

3.3 Account Responsibility

You bear full responsibility for:

All actions performed through your account
Maintaining confidentiality of your credentials
Any damages resulting from unauthorized use of your account

3.4 Verification

We reserve the right to:

Verify your identity or organization
Request additional information or documents
Reject or suspend accounts without explanation
Delete accounts that violate these Terms

4. PLATFORM USE RULES

4.1 Permitted Use

You have the right to use the Platform for:

Searching for information about funding programs
Creating and publishing your organization's profile
Publishing funding programs (for donors)
Saving favorite programs and profiles
Interacting with other users through contact information
Viewing educational and informational content

4.2 Prohibited Use

It is prohibited to use the Platform for:

4.2.1 Illegal Activities

Violating Ukrainian legislation or international law
Fraud, deception, or misleading
Money laundering or terrorism financing
Intellectual property rights violations

4.2.2 Inappropriate Content

Publishing false or misleading information
Posting offensive, threatening, or discriminatory content
Publishing content that violates third-party rights
Distributing spam or unwanted messages

4.2.3 Technical Violations

Attempting unauthorized system access
Using bots, scripts, or automated means without permission
Overloading servers or network
Bypassing security systems
Reverse engineering, decompiling, or disassembling the Platform

4.2.4 Function Abuse

Creating fake accounts
Impersonating another person or organization
Manipulating ratings or statistics
Collecting user data without permission

4.3 Platform Intellectual Property

All intellectual property rights to the Platform, including (but not limited to):

Design and interface
Logos and trademarks
Software code
Texts and content created by us
Databases

belong to NGO "RISTATE" or their licensors. You do not have the right to use, copy, modify, or distribute these materials without written permission.

5. USER CONTENT

5.1 Your Content

By "Your content" we mean all information you post on the Platform:

Organization profile information
Funding program descriptions
Logos and images
Documents
Comments and reviews (if available)

5.2 Your Warranties

By posting content on the Platform, you warrant that:

You have all necessary rights to this content
Content does not violate third-party rights
Content is accurate and not misleading
Content does not violate legislation
You have all necessary permissions (e.g., from the organization)

5.3 Content Use License

By posting content on the Platform, you grant us:

A non-exclusive, royalty-free, worldwide license
The right to use, display, reproduce, and distribute your content
The right to modify content for technical purposes (e.g., resizing images)
The right to store backup copies of your content

Note: This license is necessary for Platform operation. You retain all ownership rights to your content.

5.4 Content Removal

We reserve the right to remove any content that:

Violates these Terms
Violates third-party rights
Is false or misleading
May harm the Platform or users
Violates legislation

We are not obligated to moderate all content, but reserve the right to do so.

5.5 Backup

You are responsible for maintaining backup copies of your content. We do not guarantee indefinite storage of your content.

6. FUNDING PROGRAMS

6.1 Program Publication

Donors may publish funding programs on the Platform. When publishing a program, you confirm that:

Program information is accurate and current
You have the authority to publish this program
The program is real and not fraudulent
You commit to reviewing applications according to published criteria

6.2 Program Responsibility

Important: The eGrants Platform is only a venue for publishing information. We:

ARE NOT the organizer of funding programs
ARE NOT LIABLE for program content, terms, or execution
DO NOT GUARANTEE receipt of funding
DO NOT PARTICIPATE in application selection or payments
DO NOT VERIFY donor financial capacity

6.3 User Interaction

All interactions, negotiations, and agreements between donors and funding recipients occur directly between them. The Platform is not a party to these agreements.

7. LIMITATION OF LIABILITY

7.1 "As Is" Service Provision

The Platform is provided "as is" and "as available" without any warranties, express or implied, including (but not limited to):

Warranties of merchantability
Warranties of fitness for a particular purpose
Warranties of accuracy or completeness of information
Warranties of uninterrupted operation

7.2 Disclaimer of Liability

To the maximum extent permitted by law, we ARE NOT LIABLE for:

7.2.1 Indirect Damages

Loss of profit
Loss of data
Loss of business reputation
Loss of opportunities
Any indirect, incidental, or consequential damages

7.2.2 Third-Party Actions

Content published by users
Actions or inactions of donors
Non-performance of obligations by third parties
Fraudulent actions of other users

7.2.3 Technical Problems

Platform malfunctions
Loss or damage to data
Platform access problems
Software errors

7.2.4 External Factors

Force majeure circumstances
Actions of the state or regulators
Cyber attacks
Internet service provider problems

7.3 Liability Limitation

In cases where disclaimer of liability is not possible by law, our maximum liability is limited to:

The amount you paid us in the last 12 months (if applicable), or
100 euros, whichever is greater

7.4 Indemnification

You agree to defend, indemnify, and hold harmless NGO "RISTATE", AIQ Agency, and their partners from any claims arising from:

Your use of the Platform
Your violation of these Terms
Your violation of third-party rights
Your content

8. TERMINATION OF USE

8.1 Termination by You

You may terminate use of the Platform at any time by:

Deleting your account through settings
Sending a request to email: info@egrants.com.ua
Simply ceasing to use the Platform

8.2 Termination by Us

We reserve the right to suspend or terminate your access to the Platform:

8.2.1 Immediately and without notice in case of:

Violation of these Terms
Illegal activities
Fraud
Threats to Platform or other users' security
At the request of law enforcement agencies

8.2.2 With notice in case of:

Prolonged inactivity (over 2 years)
Technical reasons
Platform closure

8.3 Consequences of Termination

After termination of use:

Your access to the Platform will be blocked
Your account will be deleted (with a 30-day recovery period)
Published programs may remain on the Platform (anonymized)
Drafts and private information will be deleted
You will lose access to saved content

Sections that remain valid after termination: intellectual property, limitation of liability, indemnification, applicable law.

9. INTELLECTUAL PROPERTY

9.1 Rights to the Platform

The Platform and all related materials (design, code, content, logos) are protected by copyright, trademarks, and other intellectual property rights.

9.2 Use of Trademarks

Without written permission, it is prohibited to use:

The name "єГранти" or "eGrants"
Platform logos
Names NGO "RISTATE" or AIQ Agency for advertising purposes

9.3 User Copyright

We respect the intellectual property rights of others. If you believe your rights are violated by content on the Platform:

Send a notice to email: info@egrants.com.ua
Provide a link to the content that violates rights
Provide proof of your rights
Provide your contact details

We will review your complaint and take appropriate action.

10. PRIVACY AND DATA PROTECTION

10.1 Privacy Policy

Processing of your personal data is governed by our Privacy Policy, which is an integral part of these Terms.

10.2 Consent to Data Processing

By using the Platform, you consent to the processing of your personal data in accordance with the Privacy Policy.

10.3 Cookies

We use cookies to ensure Platform operation. Detailed information is available in the Privacy Policy.

11. EXTERNAL LINKS

11.1 Links to Third-Party Sites

The Platform may contain links to third-party websites:

User organization sites
Social networks
Donor sites
Other resources

11.2 Disclaimer of Liability

We ARE NOT LIABLE for:

Content of third-party sites
Data protection practices on third-party sites
Accuracy of information on third-party sites
Any damages from using third-party sites

Recommendation: Familiarize yourself with the terms of use and privacy policy of third-party sites before using them.

12. DISPUTE RESOLUTION

12.1 Negotiation

In case of a dispute, we encourage you to first try to resolve it through negotiation. Contact us:

We commit to respond within 14 days and make efforts to reach a compromise.

12.2 Mediation

If negotiations do not lead to dispute resolution, parties may resort to mediation.

12.3 Judicial Review

If the dispute cannot be resolved peacefully:

Jurisdiction: Courts of Kyiv city, Ukraine
Language: Ukrainian

12.4 Exception

Notwithstanding the above, we reserve the right to go to court for:

Protection of intellectual property rights
Prevention of fraud or illegal actions
Urgent judicial protection

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms together with the Privacy Policy constitute the entire agreement between you and NGO "RISTATE" regarding use of the Platform.

13.2 Waiver of Rights

Our waiver of exercising any right under these Terms does not mean waiver of that right in the future.

13.3 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain valid.

13.4 Assignment of Rights

You may not transfer or assign your rights under these Terms without our written consent. We may transfer our rights to any affiliated person.

13.5 No Partnership

These Terms do not create partnership, joint venture, employment, or agency relationships between you and us.

13.6 Force Majeure

We are not liable for non-performance of obligations due to force majeure circumstances:

Natural disasters
War or military actions
Terrorist acts
Cyber attacks
Government actions
Epidemics or pandemics
Other circumstances beyond our control

13.7 Notices

All notices under these Terms must be sent:

13.8 Language

The original version of these Terms is in Ukrainian. In case of discrepancies between translations, the Ukrainian version prevails.

14. SPECIAL PROVISIONS

14.1 For Donors

If you publish funding programs, you additionally agree to:

Provide accurate and complete information about programs
Timely update information about changes
Review applications according to published criteria
Not discriminate against applicants
Comply with funding legislation

14.2 For Funding Recipients

If you are seeking funding, please note:

The Platform does not guarantee receipt of funding
You are responsible for verifying the authenticity of programs
Direct negotiations with donors occur at your own risk
Beware of fraudulent schemes

14.3 For State Bodies

Use of the Platform by state bodies does not create official obligations or guarantees on behalf of the state.

By using the eGrants platform, you confirm that:
